Welcome to MyZentient, a platform operated by Zentient Consulting Pty Ltd (ABN [insert ABN]) (“we”, “our”, “us”, or “Zentient”). These Terms of Use (“Terms”) govern your access to and use of the MyZentient platform and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Definitions

In these Terms:

  • “Platform” means the MyZentient software platform
  • “Organisation” means any entity that registers to use our Services
  • “User” means any individual who accesses or uses our Services
  • “Account Owner” means the User designated as the primary administrator for an Organisation
  • “Personal Account” means an individual user account not connected to any Organisation
  • “Content” means any information, data, text, files, or materials uploaded to or stored on the Platform

3. Account Registration and Security

3.1 Eligibility

  • You must be at least 18 years old to use our Services
  • You must have the authority to enter into these Terms
  • You must use a valid work email address for organisational accounts

3.2 Account Types

  • Organisational accounts require a valid work email domain
  • Personal accounts may be created by converting an existing organisational account
  • External user accounts (Guest, Consultant) may be created by Organisations

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access
  • Using strong passwords and enabling additional security features when available

4. Organisation Administration

4.1 Account Owner Responsibilities

Account Owners are responsible for:

  • Managing user access and permissions
  • Ensuring compliance with these Terms
  • Managing billing and subscriptions
  • Maintaining accurate organisation information

4.2 User Management

Organisations may:

  • Add or remove users
  • Assign roles and permissions
  • Monitor user activity within the platform
  • Reset passwords for organisational users

5. Acceptable Use

5.1 Permitted Use

You agree to use the Services only for:

  • Managing IT infrastructure and resources
  • Storing and sharing passwords securely within your organisation
  • Managing digital assets and documentation
  • Training and development purposes
  • Other legitimate business purposes

5.2 Prohibited Activities

You must not:

  • Share account credentials
  • Circumvent security measures
  • Upload malicious content
  • Attempt to gain unauthorized access
  • Use the Services for illegal purposes
  • Reverse engineer the platform
  • Conduct security testing without written permission

6. Data and Privacy

6.1 Data Collection and Use

  • We collect and use data as described in our Privacy Policy
  • You retain ownership of your Content
  • You grant us license to use your Content to provide the Services

6.2 Data Security

We implement security measures to protect your data, including:

  • Encryption of sensitive data
  • Role-based access controls
  • Regular security audits
  • Secure password storage

7. Intellectual Property

7.1 Our Intellectual Property

  • The Platform and its original content are owned by Zentient
  • Our trademarks and brand features are protected
  • The platform’s code and infrastructure remain our property

7.2 Your Content

  • You retain rights to your Content
  • You grant us license to host and share your Content
  • You warrant that your Content doesn’t infringe others’ rights

8. Subscription and Billing

8.1 Trial Period

  • Initial 12-month trial period for eligible organisations
  • Limited to 100 organisations
  • Full feature access during trial

8.2 Paid Subscriptions

  • Pricing based on number of admin users
  • Annual or monthly billing options
  • Payment required to maintain access

8.3 Cancellation and Refunds

  • Cancel at any time
  • Pro-rata refunds at our discretion
  • No refunds for partial months

9. Termination

9.1 Account Termination

We may terminate or suspend your account if you:

  • Violate these Terms
  • Engage in prohibited activities
  • Fail to pay applicable fees
  • Become inactive as defined in our policies

9.2 Effect of Termination

Upon termination:

  • Access to Services will cease
  • Your Content may be deleted or archived
  • You remain liable for outstanding payments

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that:

  • We have the right to provide the Services
  • We will provide the Services with reasonable care and skill
  • We will maintain appropriate security measures

10.2 Disclaimers

  • Services are provided “as is”
  • We don’t guarantee uninterrupted service
  • We’re not responsible for third-party services
  • Technical support availability may vary

11. Limitation of Liability

To the extent permitted by law:

  • We limit our liability for direct damages
  • We’re not liable for indirect or consequential losses
  • Our total liability is capped at fees paid
  • Australian Consumer Law rights apply

  • Your violation of others’ rights

14. General Provisions

14.1 Governing Law

  • These Terms are governed by Australian law
  • Courts of Western Australia have jurisdiction

14.2 Severability

  • Invalid provisions will be modified to be valid
  • Remaining provisions stay in effect

14.3 Entire Agreement

  • These Terms constitute the entire agreement
  • They supersede previous agreements
  • Additional terms may apply to specific features
